THE BY-LAWS OF THE FRIENDS OF THE WILLIAM JEANES MEMORIAL LIBRARY
ADOPTED JANUARY 8, 2004
This is a private, non-profit organization, which shall be known as The Friends of the William Jeanes Memorial Library. Its headquarters shall be in the library building at 4051 Joshua Road, Lafayette Hill, PA 19444.
Said organization is organized exclusively to support and supplement the efforts of the William Jeanes Memorial Library, including, for such purposes, the making of distributions to the William Jeanes Memorial Library, which qualifies as an exempt organization under section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Revenue Law).
No part of the earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth above.
Upon the dissolution of this corporation assets shall be distributed for the purposes within the meaning of Section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), such distribution to be made to the William Jeanes Memorial Library Endowment Fund.
There shall be five (5) types of membership: Individual ($5), Family ($10), Supporting ($25), Patron ($50), and Benefactor ($100). The types of membership are subject to change at the discretion of the Board.
Officers of the organization shall be President, Vice
President, Recording Secretary, Corresponding Secretary, and Treasurer.
Each officer shall be elected for a period of two (2) consecutive years at the
annual general meeting, which will be held no later than March of each year.
The Board of the Friends shall include the officers and shall consist of not
less than ten additional members and not more than shall be deemed
appropriate by the Board. These members will be elected for the term
of one (1) year at the annual general meeting.
All officers and Board members must be current dues-paying members of this
organization.
In case of the death or resignation of a member of the Board of the Friends,
the President shall have the power to appoint a replacement.
The standing committees shall be Archives, Automation, Book
Sales, Finance, Membership, Newsletter, Publicity, and Willaman
Garden. The chairperson of each of these and other committees shall be
appointed by the President. Ad hoc committee chairpersons shall also
be appointed by the President as needed.
The records or archives of the organization are kept at the library and are
kept in order by a committee, which is appointed by the President.
The Board of the Friends shall have full power to act for membership between annual meetings.
Regular meetings shall be held the first Thursday of each month from September to June. Special meetings shall be held at such times as may be set by the officers.
These by-laws can be amended by a 2/3 vote of the Board.
